The terms and conditions governing the provision of project management and business services by Project Bso Pty Ltd (ABN 99 702 153 106). Please read them carefully before engaging our services.
1. Agreement to These Terms
These Terms of Service (“Terms”) apply to all services provided by Project Bso Pty Ltd (ABN 99 702 153 106) (“we”, “us”, “our”) to you (“you”, “your”, the “Client”). By requesting a quote, accepting a proposal, engaging our services, or otherwise using this website, you agree to be bound by these Terms.
If you do not agree with these Terms, please do not engage our services or use this website.
2. Who We Are
Project Bso Pty Ltd is an Australian proprietary limited company registered in Western Australia, trading as a provider of project management and business services from Perth, WA. Our Australian Business Number is 99 702 153 106.
3. Our Services
We provide project management, coordination, and business support services, which may include planning and scheduling, stakeholder liaison, documentation, reporting, procurement assistance, and general administrative and operational support. The specific scope, deliverables, timelines, and fees for any engagement will be set out in a written proposal, quote, or statement of work agreed between you and us.
Any indicative timeframes, outcomes, or estimates communicated before a written agreement is executed are provided in good faith but are not binding commitments.
4. Quotes, Engagements and Payment
- Quotes provided by us are valid for thirty (30) days from the date of issue unless otherwise stated in writing.
- An engagement commences only once you have accepted a written proposal or quote, or issued written instructions that we confirm in writing.
- Payment terms, including any deposits, milestones, or progress invoicing, will be specified in the applicable quote or proposal. Invoices are payable in Australian dollars by the date stated on the invoice.
- Late payments may attract interest or recovery costs as permitted by law and as set out in the applicable agreement.
- Work performed outside the agreed scope will be quoted separately and will not proceed without your written approval.
5. Client Obligations
To enable us to deliver services effectively, you agree to:
- Provide accurate, complete, and timely information, documents, and access as reasonably required;
- Respond to reasonable requests for feedback or decisions within agreed timeframes;
- Ensure that any information you provide to us does not infringe the rights of any third party or breach any applicable law;
- Promptly notify us of any change to your requirements or circumstances.
Delays caused by a failure to meet these obligations may affect timelines and, where applicable, may result in additional costs.
6. Intellectual Property
All intellectual property created by us in the course of providing services, including methodologies, templates, frameworks, and working documents, remains our property unless otherwise agreed in writing. Upon full payment of our fees for a deliverable, you are granted a perpetual, non-exclusive, royalty-free licence to use that deliverable for your internal business purposes.
You retain ownership of materials you provide to us. You grant us a limited licence to use those materials solely for the purpose of delivering services to you.
7. Confidentiality and Privacy
Both parties agree to keep confidential information received from the other party secure and to use it only for the purpose of the engagement, except where disclosure is required by law. Our handling of personal information is described in our Privacy Policy.
8. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted, or modified by agreement.
Our services come with guarantees under the Australian Consumer Law that cannot be excluded. You are entitled to a remedy for any failure to supply services with due care and skill, or that are not reasonably fit for their stated purpose.
9. Limitation of Liability
To the fullest extent permitted by law, our liability arising out of or in connection with the services is limited to resupplying the relevant services or paying the cost of having the services resupplied, at our election.
We are not liable for indirect, incidental, special, or consequential loss, including loss of profit, revenue, data, or business opportunity, except where such limitation is prohibited by law. Nothing in this clause attempts to exclude liability for anything that cannot lawfully be excluded.
10. Termination
Either party may terminate an engagement by giving fourteen (14) days’ written notice, unless a different notice period is agreed in the applicable proposal or statement of work. You remain liable for fees for services properly performed up to the date of termination, together with any reasonable, properly incurred costs.
Either party may terminate an engagement immediately by written notice if the other party commits a material breach that is not remedied within fourteen (14) days of notice of the breach, or becomes insolvent.
